Welcome to DentiBase, a product of Xata Technologies. These Terms of Service ("Terms") govern your access to and use of our services. By using DentiBase, you agree to these terms and conditions. Please read them carefully to understand your rights and responsibilities.

1. Acceptance of Terms

By accessing or using DentiBase, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you may not use our services. Your satisfaction and understanding of these terms are important to us.

2. Description of Service

DentiBase provides dental practice management software and related services to help dental professionals manage their practices more efficiently. Our services include but are not limited to patient management, appointment scheduling, billing, and reporting features.

3. User Accounts

When creating an account with DentiBase, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and current
  • Maintain the security and confidentiality of your account credentials
  • Monitor all activities that occur under your account
  • Immediately notify us of any unauthorized access or security breaches
  • Accept responsibility for all activities conducted through your account

You are solely responsible for maintaining the confidentiality of your password and account. DentiBase will not be liable for any loss or damage arising from your failure to protect your account information.

4. Acceptable Use

You agree to use DentiBase only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the service in any way that violates applicable laws or regulations
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the service or servers
  • Use the service to harass, abuse, or harm others
  • Impersonate any person or entity

5. Data and Privacy

You acknowledge that you have read and understood our Privacy Policy. You are responsible for ensuring that any patient data you input into DentiBase complies with applicable healthcare privacy laws, including HIPAA where applicable.

6. Intellectual Property Rights

The DentiBase platform, including all software, content, designs, logos, and trademarks, is owned by Xata Technologies and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use DentiBase for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of our services without explicit written permission.

7. Subscription and Payment Terms

If you subscribe to a paid plan:

  • You agree to pay all fees associated with your chosen subscription plan
  • Subscription fees are billed in advance on a recurring basis (monthly or annually)
  • All fees are non-refundable unless otherwise stated in writing
  • We reserve the right to modify pricing with reasonable notice
  • Failure to pay may result in suspension or termination of your account
  • You are responsible for all applicable taxes

8. Service Availability and Modifications

We strive to provide reliable and uninterrupted service. However, DentiBase is provided "as is" and "as available" without any warranties of any kind. We do not guarantee that the service will be error-free, secure, or available at all times. We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Xata Technologies disclaims all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claims related to the service shall not exceed the amount you paid us in the twelve months preceding the claim
  • We are not responsible for any loss of data, profits, or business opportunities
  • Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you

10. Indemnification

You agree to indemnify, defend, and hold harmless Xata Technologies, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of DentiBase, your violation of these Terms, or your violation of any rights of another party.

11. Termination

We reserve the right to suspend or terminate your access to DentiBase at any time, with or without cause, and with or without notice, for any reason including violation of these Terms. You may also terminate your account at any time by contacting us. Upon termination, your right to use the service will immediately cease. We will make reasonable efforts to provide you with access to export your data before termination, subject to applicable laws.

12. Dispute Resolution

Any disputes arising from these Terms or your use of DentiBase shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial or to participate in a class action lawsuit. This arbitration provision does not apply to disputes that may be brought in small claims court.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Xata Technologies is registered, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date and notify you via email or through a prominent notice on our platform. Your continued use of DentiBase after such modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Xata Technologies regarding your use of DentiBase and supersede any prior agreements.
